These Terms of Service (“Terms”) govern your access to and use of the lexpad website, software platform, and related services (“Services”) provided by Lexpad LLC (“lexpad,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company, law firm, organization, or other entity, you represent that you are authorized to accept these Terms on its behalf.
If you do not agree to these Terms, you should not access or use the Services.
1. Description of the Service
lexpad is a software and AI-assisted workspace designed to support legal and compliance workflows.
Depending on the access arrangement, configuration, and features available to you, these Terms may apply to Early Access, beta or pilot access, production use, or paid services. Not every access arrangement or service type is necessarily available at every time.
Depending on the plan, configuration, and features available to you, the Services may include functionality for:
Legal and regulatory research.
Regulatory intelligence.
Document management.
Knowledge retrieval.
Document drafting.
AI-assisted analysis.
Collaboration.
Organization of legal and compliance information.
Other legal and compliance workflow functionality.
Features and service configurations may change over time as we develop and operate the Services.
If Lexpad LLC and a customer enter into a separate written agreement, such as a Master Services Agreement, Data Processing Addendum, or Order Form, that agreement may supplement or supersede these Terms to the extent of any conflict.
2. Accounts and Access
Certain features require an account.
You are responsible for:
Providing accurate information.
Maintaining the confidentiality of your credentials.
Maintaining appropriate access controls.
Ensuring that authorized users use your account appropriately.
Notifying us of unauthorized access or suspected security incidents.
Organizations may administer workspaces and may control access, users, and workspace content to the extent supported by the applicable service and agreement.
Individual users may be subject to the instructions, policies, and account controls of the organization through which they access lexpad.
You are responsible for activity occurring through your account, except to the extent caused by our failure to maintain reasonable security measures or otherwise required by applicable law.
3. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms.
You may not:
Use the Services to violate applicable laws or regulations.
Attempt to gain unauthorized access to the Services or another user’s account.
Interfere with or disrupt the operation of the Services.
Circumvent security or access controls.
Reverse engineer the Services except where expressly permitted by applicable law.
Use the Services to develop or operate a competing service in violation of applicable agreements.
Upload content that you do not have the right to use.
Use the Services to distribute malicious code or other harmful material.
Abuse automated access or extraction mechanisms.
Misrepresent your identity or authority.
We may take appropriate action where we reasonably believe that use of the Services violates these Terms or creates a security, legal, or operational risk.
4. User Responsibilities
You are responsible for your use of the Services and for the information and materials you provide to lexpad.
You represent that you have the necessary rights, permissions, and authority to submit content to the Services and to allow lexpad to process that content as necessary to provide the Services.
You are responsible for reviewing information generated or retrieved through the Services before using it in professional, legal, regulatory, business, or other decision-making processes.
5. User Content and Confidentiality
You may provide documents, text, data, information, and other materials to the Services (“User Content”).
User Content may include documents, files, knowledge bases, metadata, embeddings, vector representations, indexes, and other content provided or generated within a workspace. User Content may also include confidential business information, legal documents, contracts, policies, regulatory materials, internal company information, or personal information contained within documents.
You retain your rights in User Content, subject to the rights necessary for lexpad to operate and provide the Services.
You grant Lexpad LLC the limited rights necessary to host, store, process, transmit, retrieve, secure, and otherwise use User Content solely as reasonably necessary to provide the Services, perform requested AI functionality, maintain the security of the Services, and comply with applicable law.
Lexpad LLC does not use User Content to train its AI models and does not use User Content to fine-tune AI models. Prompts and outputs are not used by Lexpad LLC for model training or fine-tuning.
You are responsible for ensuring that your User Content does not violate applicable law, third-party rights, or these Terms.
Confidentiality
Each party may receive non-public or confidential information from the other party in connection with the Services. Each party will use reasonable care to protect confidential information and will use it only as necessary for the applicable relationship, subject to these Terms and any separate written agreement.
Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed without use of confidential information, is received lawfully from a third party, or must be disclosed by law or legal process.
A separate MSA, DPA, Order Form, NDA, or Enterprise Agreement may establish additional or different confidentiality obligations for the applicable customer relationship.
Data deletion and export
Users and customers can determine when to delete User Content within the applicable workspace, subject to the functionality and controls available to them.
Deletion may be subject to reasonable technical processes, including processing time, backups, security requirements, legal obligations, dispute resolution, or enforcement of agreements. These Terms do not promise that all copies of User Content are deleted immediately from every system.
If export functionality is made available, any export will be subject to the applicable service functionality and agreement. Lexpad does not promise a particular export format or mechanism unless agreed in writing.
6. AI-Generated Content and AI Providers
The Services may generate content using artificial intelligence, including summaries, research results, explanations, drafts, analyses, classifications, and other outputs (“AI Output”).
For certain AI functionalities, Lexpad LLC uses AI services provided by Anthropic, including Claude. User Content, prompts, context, and other AI inputs may be transmitted to those services when necessary to provide the functionality requested by the user or organization.
AI Output may be inaccurate, incomplete, outdated, or inappropriate for a particular purpose. AI Output should not be treated as automatically correct.
AI-generated legal or regulatory content requires human review before it is relied upon or used in professional, legal, regulatory, business, or other decision-making processes.
AI Output is not legal advice and is not a substitute for independent professional judgment.
Lexpad LLC does not use User Content to train its AI models or fine-tune AI models. Model or provider behavior may change over time, and similar inputs may produce similar or different outputs for different users.
Lexpad LLC does not make additional claims about a third-party AI provider’s retention, use, or processing practices beyond the arrangements applicable to the relevant service.
7. No Legal Advice
lexpad is a software and AI-assisted legal and compliance platform.
lexpad does not provide legal advice, legal representation, or other professional legal services.
The Services, legal or regulatory information, and any AI Output generated through them are not a substitute for advice from a qualified legal or other professional.
You are solely responsible for determining whether information generated or retrieved through the Services is accurate, complete, current, and appropriate for your particular circumstances.
Legal and regulatory information may change, and no representation is made that any information available through the Services is complete, current, or applicable to a particular situation.
8. Intellectual Property and AI Output
The Services, including the software, user interface, design, trademarks, logos, documentation, and other materials provided by lexpad, are owned by or licensed to Lexpad LLC and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, license, or create derivative works from the Services.
“lexpad.” and related branding are trademarks or identifying marks of Lexpad LLC or its licensors.
These Terms do not transfer ownership of lexpad intellectual property to you.
As between you and Lexpad LLC, and to the extent permitted by applicable law, you may use AI Output generated for your account in connection with your business or professional activities, subject to these Terms and the rights of third parties.
AI Output may incorporate, reflect, or be based on public information, third-party source material, or information supplied by you. AI Output may not be unique, and Lexpad LLC does not guarantee that you will receive exclusive rights in any AI Output.
9. Third-Party Services and Source Material
The Services may rely on or integrate with third-party services, infrastructure, software, APIs, data providers, AI providers, or other technologies.
Third-party services may be subject to their own terms and privacy policies.
Legal, regulatory, public, and other third-party source material may be subject to separate rights, licenses, access conditions, or usage restrictions. Lexpad LLC does not grant rights to third-party source material beyond the rights applicable to the relevant service.
lexpad is not responsible for third-party services or source material to the extent that their operation or content is outside Lexpad LLC’s reasonable control.
10. Service Availability
We will use reasonable efforts to operate and maintain the Services.
However, the Services may occasionally be unavailable due to maintenance, upgrades, technical issues, security events, third-party dependencies, or circumstances outside our reasonable control.
Unless otherwise agreed in a written agreement, Lexpad LLC does not guarantee uninterrupted or error-free availability of the Services and does not provide a service-level commitment through these Terms.
11. Changes to the Services
We may modify, add, or remove features from the Services from time to time.
Where changes materially affect an applicable contractual commitment, we will provide any notice required under the applicable agreement or law.
12. Fees and Payments
If you use a paid version of the Services, applicable fees, billing terms, renewal terms, and payment conditions will be presented to you before purchase or governed by a separate order form or agreement.
Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed in writing.
13. Suspension and Termination
We may suspend or restrict access to the Services where reasonably necessary to:
Protect the security or integrity of the Services.
Prevent fraud or abuse.
Address a violation of these Terms.
Comply with applicable law.
Address non-payment where applicable.
You may stop using the Services at any time.
Upon termination, your right to access the Services will end, subject to any applicable contractual provisions concerning access to or export of User Content.
Users and customers may determine when to delete User Content within the applicable workspace, subject to the functionality and controls available to them. Deletion may be subject to reasonable technical processes, backups, security requirements, legal obligations, dispute resolution, or enforcement of agreements.
Certain provisions of these Terms are intended to survive termination, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and other provisions that by their nature should survive.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
lexpad. DISCLAIMS WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY PARTICULAR PURPOSE.
lexpad. DOES NOT WARRANT THAT INFORMATION, RESEARCH RESULTS, REGULATORY INFORMATION, DOCUMENT ANALYSIS, OR AI OUTPUT WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Lexpad LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Lexpad LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL BE LIMITED TO THE GREATER OF:
THE AMOUNT YOU PAID TO Lexpad LLC FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT APPLY WHERE PROHIBITED BY LAW.
16. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless lexpad and its affiliates, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:
Your use of the Services in violation of these Terms.
Your User Content.
Your violation of applicable law or third-party rights.
Your unauthorized use of the Services.
This obligation does not apply to the extent a claim results from Lexpad LLC’s own willful misconduct or other circumstances where indemnification cannot lawfully be required.
17. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the “Last updated” date at the top of the Terms.
Where required by applicable law or an applicable agreement, we will provide additional notice of material changes.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
18. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.
The parties agree that any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the applicable courts located in Delaware, unless otherwise required by applicable law or agreed in a separate written agreement.
19. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
20. Entire Agreement and Contract Hierarchy
These Terms constitute the agreement between you and lexpad concerning your use of the Services, except where you have entered into a separate written agreement with Lexpad LLC that expressly governs your use of particular Services.
The Privacy Policy describes how information is handled. A Master Services Agreement, Data Processing Addendum, Order Form, Enterprise Agreement, or other separate written agreement may supplement or supersede these Terms or the Privacy Policy to the extent stated in that agreement.
If there is a conflict between these Terms and a separately executed agreement, the applicable executed agreement will control to the extent specified in that agreement.
